PART I — GENERAL TERMS (ALL USERS)

1. ACCEPTANCE OF TERMS

These Terms govern the manufacturingbridge.com website and Platform. Public visitors may access informational pages subject to the provisions reasonably applicable to that access after conspicuous notice; however, arbitration, indemnification, automatic-renewal authorization, liability limitations, and other provisions that require assent apply only to the extent Manufacturing Bridge obtains legally sufficient notice and agreement. By registering an account, completing membership setup, submitting payment, affirmatively accepting these Terms, or using an account or transactional feature after the required notice and assent, you agree to be bound by these Terms. If you do not agree, do not register, purchase, or use an account or transactional feature.

Affirmative acceptance by checkbox or comparable electronic action is required before an account is activated and before a paid membership or paid service is purchased. We may record the date and time, the version accepted, the accepting user and account, and reasonable technical identifiers as described in our Privacy Policy. To the maximum extent permitted by applicable law, an electronic acceptance or signature will not be denied legal effect solely because it is electronic.

These Terms apply to all users of the Platform, including website visitors, registered users, free Basic account holders, paid members, buyers, suppliers, service providers, and Trust Seal participants. Certain provisions apply only when you register an account, purchase a membership, use a specific Platform feature, or participate in the Trust Seal program. Parts III and IV apply only to paid memberships and Trust Seal participants, respectively.

In these Terms, “we,” “us,” “our,” and “Manufacturing Bridge” mean MB Platform Services LLC d/b/a Manufacturing Bridge. “You” and “your” mean the individual or legal entity accessing or using the Platform.

2. PLATFORM DESCRIPTION

Manufacturing Bridge is a structured industrial network and B2B platform that provides:

(a) industrial supplier profiles and directory visibility; (b) the Self-Declared profile designation and, only when expressly opened by Manufacturing Bridge, the MB Reviewed service; (c) a searchable supplier directory through which users identify and contact one another directly; and (d) structured industrial information and market insights.

The Platform is provided as a digital subscription and software-enabled business service. A membership grants only the contractual access rights expressly described for the applicable tier and does not transfer ownership of, or any license to, any Platform software, database, methodology, algorithm, or other intellectual property, except as expressly stated in these Terms.

Manufacturing Bridge is not a trading company, distributor, manufacturer, sourcing agent, broker of goods, employer, buyer, or seller of any product or service offered by Platform members. We provide structured information, discovery, directory visibility, and tools that enable users to identify and contact one another directly. We are never a party to any commercial transaction between users.

We do not manufacture products, hold inventory, act as importer, exporter, customs broker, bank, insurer, law firm, accounting firm, or any regulated financial or professional services entity. Nothing provided through the Platform constitutes legal, financial, tax, regulatory, engineering, or other professional advice.

These Terms govern use of the Platform only. Consulting, advisory, implementation, audit-support, or other project-based professional services are not included in Platform membership and require a separate written agreement. No professional service is included merely because it is described on the Website.

Certain Platform features may be introduced, limited, suspended, or made available in phases. A feature is available only when it is expressly identified as available on the Platform or at checkout. Registration or membership does not create a right to any feature that has not been expressly activated for the applicable user or tier.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

The Platform is intended for business use by legal entities and by individuals offering professional or industrial services. It is not intended for consumers or for persons under 18 years of age.

You agree to provide accurate, current, and complete registration information, and to maintain and promptly update that information throughout the life of your account.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may not share credentials with, or permit Platform access by, any unauthorized person. Notify us promptly at legal@manufacturingbridge.com of any suspected unauthorized access.

Supported and Excluded Jurisdictions. Manufacturing Bridge™ is directed to the markets of Mexico and the United States. Paid services are available only in the supported jurisdictions identified at checkout. The Platform is not offered to users established or located in the European Economic Area, Switzerland, or the United Kingdom. Website accessibility is not service availability. All registrations are reviewed before activation and may be declined or held.

Registration and Screening. Registration is free and does not require payment. Before approving an account for activation and before enabling paid checkout or accepting any fee, we conduct restricted-party, sanctions, and commercial-legitimacy screening using reasonable manual, automated, or third-party procedures. No separate fee is charged for this control, and no fee is named by reference to screening.

Activation. Only after screening is completed with a result acceptable to Manufacturing Bridge may an account be activated or invited to purchase a paid membership or service. We may request additional information, place an application on hold, decline registration, or decline activation in our reasonable discretion. If we decline before payment, no fee is charged. If a payment is received because of a processor or technical error before clearance, we may cancel or reverse it as permitted by applicable law and payment-provider rules.

4. YOUR REPRESENTATIONS

By using the Platform, you represent and warrant that:

(a) You are a legal entity duly organized under the laws of your jurisdiction of incorporation or formation, or an individual legally authorized to offer professional or industrial services;

(b) You have full legal capacity and authority to enter into these Terms and to perform your obligations under them, and the individual accepting these Terms is authorized to bind the entity on whose behalf they act;

(c) All information you submit to the Platform — including company name, legal registration, physical address, contact information, credentials, capabilities, production capacity, lead times, quality systems, and product or service descriptions — is accurate, complete, and not misleading at the time of submission;

(d) You will update your profile promptly whenever any information becomes inaccurate or outdated;

(e) Your use of the Platform does not violate any applicable law, regulation, or court order in any jurisdiction;

(f) You satisfy the sanctions, export control, and restricted goods representations set out in Section 24.

5. PERMITTED USE

The Platform may be used exclusively for industrial discovery, supplier research, supply-chain research within the manufacturing sector, and direct business networking with other industrial companies through contact information made available on the Platform.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform features available to your account type. These rights are personal to you and may not be transferred, sublicensed, or assigned to any third party.

6. PROHIBITED USE

The following are prohibited and may result in restriction, suspension, or termination, with or without refund as provided in these Terms and mandatory applicable law:

(a) Automated scraping, crawling, indexing, or bulk extraction of any Platform data or supplier profiles;

(b) Creating or maintaining a fraudulent, false, unauthorized, or materially misleading profile, or presenting fabricated, falsified, expired, or misleading credentials or evidence;

(c) Misrepresenting your credentials, capabilities, production capacity, or regulatory status;

(d) Using Platform information or member data for spam, mass or automated solicitation, phishing, deceptive outreach, unlawful marketing, or any purpose unrelated to legitimate industrial discovery or direct one-to-one B2B communication. Relevant and truthful one-to-one outreach to a business contact published for that purpose is not prohibited when applicable opt-outs and communication laws are respected;

(e) Reselling, redistributing, or commercializing Platform data or member information;

(f) Sharing access credentials with unauthorized persons;

(g) Uploading content that infringes any third-party intellectual property right;

(h) Reproducing, copying, decompiling, or reverse-engineering any part of the Platform;

(i) Using the Platform, its data, or its outputs to train, fine-tune, benchmark, or develop any competing artificial intelligence model, dataset, index, or directory;

(j) Any activity that violates applicable law, including sanctions, export control, anti-bribery, and anti-corruption laws.

(k) Displaying, presenting, or representing during an MB Reviewed session any photograph, document, certificate, record, image, or other evidence that has been fabricated or materially altered, including through artificial intelligence or image-editing tools, in order to misrepresent facilities, equipment, personnel, credentials, operations, or capabilities;

(l) Creating or maintaining a profile purporting to represent a real company that has not authorized its registration on the Platform;

Report suspected violations to legal@manufacturingbridge.com. We may investigate and take proportionate action, including correction requests, profile restriction, removal or suspension of a Trust Seal designation, account suspension or termination, preservation of relevant records, or referral to competent authorities where appropriate.

6A. RESPONSIBLE VULNERABILITY DISCLOSURE

Notwithstanding Section 6(h), Manufacturing Bridge welcomes good-faith security research. If you discover a potential security vulnerability, please report it to infrastructure@manufacturingbridge.com before disclosing it publicly. Manufacturing Bridge will not pursue legal action against a researcher who: (a) reports the issue promptly and privately; (b) does not access, modify, or exfiltrate data beyond what is necessary to demonstrate the vulnerability; (c) does not disrupt Platform operations; and (d) gives Manufacturing Bridge a reasonable opportunity to remediate before any public disclosure.

7. USER CONTENT AND LICENSE

“User Content” means company information, profile data, contact information, capability descriptions, declared certifications, and other information that you intentionally submit through an enabled Platform function for storage or publication. User Content does not include source documents, certificates, photographs, videos, records, or other evidence displayed temporarily during an MB Reviewed remote session.

You retain ownership of your User Content. By submitting User Content through an enabled Platform function, you grant Manufacturing Bridge a non-exclusive, worldwide, royalty-free license to host, reproduce, format, process, display, and use that User Content only as reasonably necessary to operate, secure, improve, and provide the Platform and the services you request. The word “improve” does not authorize use of non-public User Content to train or fine-tune a public or third-party artificial-intelligence model except as expressly permitted by the AI Transparency Statement and a separate, specific authorization. Public display is limited to content you designate or authorize as public. This license ends when the relevant content is deleted or the account is closed, subject to reasonable backup cycles and the retention exceptions in Section 21.4 and our Privacy Policy.

You represent and warrant that you own or control the rights necessary to submit and authorize the use of your User Content; that it is accurate and not materially misleading; that it does not infringe or misappropriate any third-party right; and that its submission and use comply with applicable law and any confidentiality obligation owed to another person.

Do not submit trade secrets, export-controlled technical data, sensitive personal data, or third-party confidential information through ordinary profile or contact fields. MB Reviewed source evidence must be displayed live during the authorized remote session and must not be uploaded, emailed, photographed, recorded, copied, or otherwise transferred to Manufacturing Bridge. If a separate service expressly requires a secure transfer, it will be governed by a separate written agreement and designated channel.

7A. MARKETING AND AGGREGATE DATA USE

In addition to the license granted in Section 7, Manufacturing Bridge may: (a) use aggregated or anonymized data derived from User Content and Platform usage for analytics, research, and marketing purposes, in a form that does not identify any individual member; and (b) reference the total number of members, industries represented, or Trust Seal designations issued in marketing and investor materials, without disclosing any individual member’s confidential information.

Manufacturing Bridge will not use an individual member’s name, logo, or company-specific case study in public marketing or investor materials without the member’s prior written consent, which may be withdrawn at any time by written notice to legal@manufacturingbridge.com.

8. INTELLECTUAL PROPERTY AND TRADEMARK USE

The Platform, its original software, database structure and compilations, taxonomy, methodologies, documentation, brand assets, and other content owned by or licensed to Manufacturing Bridge are protected by applicable intellectual-property laws. This statement excludes User Content and third-party materials and applies only to the extent the relevant material is protectable and the rights are owned by or licensed to MB Platform Services LLC.

These Terms do not grant you any ownership interest, license, or right to use Manufacturing Bridge intellectual property beyond the limited access rights set out in Section 5.

8.1 Restrictions on Use of Our Name and Marks.

You may not use the Manufacturing Bridge name, logo, or Trust Seal badge in your own marketing, website, packaging, or materials without our prior written consent, except as expressly permitted by the Trust Seal Usage Policy for a currently active MB Reviewed designation and strictly within the entity, facility, scope, status, and twelve-month period authorized by the applicable Status Decision.

You may not, under any circumstance, use or display any designation that states or implies certification, accreditation, endorsement, or approval by Manufacturing Bridge, including but not limited to “Manufacturing Bridge Certified,” “Manufacturing Bridge Approved,” “Manufacturing Bridge Accredited,” “Certified by Manufacturing Bridge,” or any confusingly similar formulation in any language. Trust Seal holders may describe their status only using the exact designation granted (for example, “MB Reviewed”) in accordance with the Trust Seal Usage Policy.

You may not represent yourself as affiliated with, partnered with, or endorsed by Manufacturing Bridge except as expressly permitted in writing.

8.2 Enforcement.

Unauthorized use of our name, marks, or Trust Seal badge constitutes a material breach of these Terms and may result in immediate termination without refund, in addition to any remedy available at law or in equity.

8A. DMCA NOTICE AND TAKEDOWN PROCEDURE

Manufacturing Bridge respects the intellectual property rights of others. If you believe content on the Platform infringes your copyright, you may send a notice to legal@manufacturingbridge.com and to MB Platform Services LLC, 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801, USA. The notice should identify the copyrighted work, the allegedly infringing material and its location, your contact information, the basis for your good-faith belief, and your authority to act. If Manufacturing Bridge has a current DMCA designated agent registered with the U.S. Copyright Office, the agent information published on the Platform and in the Copyright Office directory controls.

We may remove or disable access to material that is alleged to infringe, notify the affected user, request additional information, and process a counter-notice where applicable. Restoration, repeat-infringer action, and other procedures will be handled under applicable law and our then-current copyright procedure. Nothing in this Section represents that any statutory safe harbor applies unless all legal conditions for that protection are satisfied.

9. FEEDBACK AND SUGGESTIONS

If you provide us with any feedback, suggestions, ideas, feature requests, error reports, or other input regarding the Platform (“Feedback”), you grant Manufacturing Bridge a perpetual, irrevocable, worldwide, royalty-free, sublicensable right to use, reproduce, modify, and incorporate that Feedback into our products and services for any purpose, without attribution, compensation, or any obligation to you.

You represent that any Feedback you provide is not subject to any third-party right that would prevent us from using it as described. Nothing in this Section grants us rights in your User Content, which is governed by Section 7.

10. PRIVACY AND DATA

Our collection, use, and processing of your personal and business data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms, you acknowledge that you have reviewed the Privacy Policy. Where applicable law requires consent for a specific processing activity, such consent will be requested separately and may be withdrawn as described in the Privacy Policy.

User Content and account data may be stored or processed by approved hosting, infrastructure, communications, security, payment, and other service providers as described in the Privacy Policy. Source documents and evidence displayed during an MB Reviewed session are not uploaded to, received by, stored by, photographed by, recorded by, or retained by Manufacturing Bridge. Manufacturing Bridge retains only its own limited work product and records, such as the agreed scope, session log, reviewer observations, decision record, and participant attestation or acknowledgement, as described in the applicable Trust Seal Agreement and Privacy Policy.

The buyer-facing profile is limited to declared capabilities, the applicable Trust Seal designation, and information authorized for public display. Materials displayed during an MB Reviewed session are not disclosed to buyers or other users by Manufacturing Bridge because those source materials are not retained.

10A. DATA BREACH NOTIFICATION

If a security incident affects personal data, Manufacturing Bridge will investigate, contain, document, and remediate the incident using commercially reasonable measures and will provide notices to authorities or affected persons when and within the time required by applicable law. No specific foreign-law notification period applies unless that law is applicable to the relevant processing and incident.

PART II — PLATFORM INFORMATION, AUTOMATED SYSTEMS, AND DIRECTORY LISTINGS

11. LIMITATIONS ON PLATFORM DATA AND SUPPLIER INFORMATION

11.1 Information Is Supplier-Declared.

Substantially all information published on the Platform — including company profiles, capabilities, and supporting materials — is submitted by suppliers and other users. It is published as received.

11.2 No General Independent Review.

Manufacturing Bridge does not independently review or confirm every statement, specification, certification, production capacity, lead time, quality system, financial condition, insurance coverage, workforce data, equipment list, export capability, regulatory status, or other representation contained in a profile or other User Content. A limited review occurs only when the profile expressly displays the MB Reviewed designation, and only within the defined scope, evidence, and point in time described in Sections 22 and 23 and the applicable Trust Seal Agreement.

11.3 No Warranty of Accuracy.

We make no representation or warranty as to the accuracy, completeness, currency, or reliability of any information published on the Platform by users. Information may become inaccurate or outdated at any time. Suppliers are solely responsible for the accuracy of their own profiles.

11.4 Buyer Responsibility.

You are solely responsible for conducting your own independent technical, legal, financial, commercial, and regulatory due diligence, including site visits, field audits, reference checks, and professional advice where appropriate, before entering into any commercial relationship. Platform information and Trust Seal designations may support, but never replace, that due diligence.

11.5 Third-Party and Aggregated Information.

Any structured industrial information, market insights, benchmarks, sector summaries, or aggregated data made available through the Platform is provided for general informational purposes only, may be derived from third-party or user-submitted sources, and does not constitute professional, investment, legal, tax, or engineering advice.

12. AUTOMATED SYSTEMS AND ARTIFICIAL INTELLIGENCE

12.1 Informational Only.

Any recommendations, rankings, summaries, classifications, translations, categorizations, search results, scores, or relevance suggestions generated by automated systems or artificial intelligence are informational only and do not constitute professional advice, endorsement, certification, or a recommendation to enter into any transaction.

12.2 No Warranty of Output.

Automated and AI-generated outputs may be incomplete, inaccurate, outdated, or unsuitable for your particular purpose. We do not warrant the accuracy, completeness, or fitness for any purpose of any automated output. You are responsible for independently verifying any automated output before relying on it.

12.3 Human Decisions Reserved.

Automated systems are not used to make Trust Seal issuance, denial, suspension, or revocation decisions, membership approval or termination decisions, or any decision that materially affects your commercial relationship with Manufacturing Bridge. Those decisions are made by qualified human personnel. Our use of artificial intelligence is further described in our AI Transparency Statement.

12.4 No Liability for Automated Output.

To the maximum extent permitted by applicable law, we accept no liability for any decision made, action taken, or omission based on any automated or AI-generated output made available through the Platform.

12.5 AI-Generated Content May Contain Errors.

Content created with AI assistance, including market insights, articles, summaries, translations, or classifications, may be inaccurate, incomplete, or outdated. We apply review procedures that we consider appropriate for the context, but do not represent that every AI-assisted output is independently reviewed before use or publication, and we do not warrant complete accuracy. See our Disclaimer Policy and AI Transparency Statement for additional information.

13. SEARCH RANKINGS AND VISIBILITY

Search results, directory placement, and visibility may be determined by factors such as membership level, profile completeness, declared capabilities, geographic relevance, recency of updates, buyer-selected filters, and other neutral relevance criteria applied at our discretion. A Trust Seal designation may be displayed and may be used as a filter selected by a user, but it does not independently increase or determine directory ranking.

Separately from relevance ordering, membership level determines which declared attributes are indexed for search and how a matching profile is displayed in results, as described in Section 16.

Paid membership tiers receive the visibility expressly described in Section 16. Placement is a commercial display feature and does not indicate superior quality, capability, reliability, compliance, or suitability. Trust Seal designations and membership visibility remain separate.

We may modify ranking factors, weighting, and presentation from time to time. Except for the Diamond homepage ordering method expressly described in Section 16, we do not guarantee any ranking position, search placement, impression volume, profile view count, or level of exposure. Changes that materially and adversely alter a paid benefit during a current Membership Period are governed by Sections 18, 20, and 30.

14. SUPPLIER DISCOVERY AND DIRECTORY LISTINGS

The Platform provides a searchable directory of supplier profiles. Search results and directory listings are generated from information declared by suppliers and from the relevance criteria described in Section 13. A listing, search result, or directory placement is a display of declared information that enables users to identify and contact one another directly; it is not a recommendation or supplier selection by Manufacturing Bridge.

We do not represent that any supplier listed, displayed, or returned in a search result is the best, cheapest, fastest, safest, closest, most qualified, most compliant, or most suitable supplier for any requirement, or that it can perform any particular scope of work. We do not select counterparties, make procurement decisions, or independently determine suitability for a specific application, specification, tolerance, regulatory framework, or commercial requirement.

Selection of any counterparty is your sole decision and responsibility. We are not a party to, and accept no liability arising from, any relationship formed between Platform users.

15. DIRECT COMMUNICATION BETWEEN USERS

15.1 No Request-for-Quotation Functionality.

The Platform does not provide request-for-quotation, tendering, bidding, order-routing, messaging, or transaction-management functionality, and we do not receive, route, distribute, or manage any purchasing enquiry on behalf of any user. Where contact information is made available on a profile, users communicate with one another directly and independently, outside the Platform and without our involvement.

15.2 No Responsibility.

Manufacturing Bridge is not responsible for, and accepts no liability in respect of: the accuracy, completeness, or legality of any specification, drawing, requirement, or enquiry communicated by a buyer; the accuracy, validity, or honoring of any quotation, price, lead time, or commitment given by a supplier; any purchase order, contract, or agreement formed between users; the negotiation, performance, delivery, quality, payment, or termination of any transaction; any customs, trade, export, tax, or regulatory compliance obligation arising from any transaction; or any dispute between users arising from any of the foregoing.

15.3 No Party to Transactions.

We are never the buyer, seller, distributor, agent, broker, guarantor, escrow agent, or joint venture partner in any transaction between users. All commercial terms are agreed directly between the parties involved. We charge no commission, success fee, brokerage fee, introduction fee, or any other fee contingent upon any dealing between users, and we impose no non-circumvention obligation, exclusivity, or comparable restriction on users dealing directly with one another. Nothing in this Section limits our rights in the Platform, the supplier directory, or the databases and compilations forming part of it, which are reserved in full and protected by Sections 6 and 8.

15.4 Confidentiality Between Users.

Information exchanged directly between users, including specifications, drawings, pricing, and volumes, may be commercially sensitive. As a condition of Platform use, you agree not to misuse non-public information received from another user and to use it only for the opportunity for which it was disclosed, except where it is public, independently developed, rightfully received from another source, or required to be disclosed by law. This obligation is owed to Manufacturing Bridge for Platform-governance purposes, does not create third-party-beneficiary rights, and is not a substitute for a separate NDA between users. Manufacturing Bridge is not a party to user communications and is not responsible for misuse by another user.

15A. CURRENCY AND EXCHANGE RATE RISK

Manufacturing Bridge displays membership fees and, when applicable, Trust Seal pricing in US Dollars only. Commercial transactions arising after users identify one another through the Platform may involve cross-border payments subject to currency conversion and exchange-rate fluctuation. Manufacturing Bridge is not a party to any such transaction and accepts no liability for currency-conversion costs, exchange-rate fluctuations, or related losses incurred by any user.

PART III — PAID MEMBERSHIP TERMS

(Applies only to Gold and Diamond memberships)

16. MEMBERSHIP TIERS AND FEES

Manufacturing Bridge offers the following membership tiers:

TierAnnual FeePlatform Visibility
BasicFreeA complete company profile containing the same fields available to all membership levels, stored in the member’s account. In Company Search, Basic profiles are matched by the industries served that the member has declared, and are displayed as a reduced result showing company name, country, industries served, and profile status. Fields other than these four are not published at the Basic level.
GoldUSD $1,500/yearThe same public business profile, matched in Company Search by all declared attributes, including processes, capabilities, geographic coverage, and declared certifications, and displayed as a full result.
DiamondUSD $2,800/yearThe same search treatment as Gold, plus homepage visibility subject to the then-current Diamond capacity and readiness rules.

Search Indexing and Display by Membership Level. Membership level determines which declared attributes are indexed for buyer search and which fields are displayed in search results. It does not determine which fields a member may complete: all members complete the same profile, and information not displayed at a given level remains stored in the member’s account and becomes displayable upon upgrade. Manufacturing Bridge discloses this limitation to buyers within Company Search. A profile that is not returned for a given filter, or that does not display a given attribute, is not an indication that the member does not hold it.

All fees are in United States Dollars and are exclusive of any applicable taxes, duties, or levies. You are solely responsible for any taxes applicable to your membership fee in your jurisdiction.

The Basic tier is offered at no charge, does not involve payment processing or automatic renewal, and continues until voluntarily cancelled by you or terminated by us under Section 21.

Diamond Global Cap. Manufacturing Bridge currently makes available up to one hundred (100) active Diamond homepage placements globally. An “Active Diamond Homepage Placement” is a Diamond card that is currently published under an unexpired Diamond Membership Period and is not suspended, removed, downgraded, or terminated. Manufacturing Bridge will maintain a contemporaneous capacity register and may maintain a waiting list when the current capacity is reached. Manufacturing Bridge may increase, decrease, suspend, or otherwise modify the Diamond capacity prospectively in its discretion, subject to applicable law and the terms disclosed for the relevant purchase or renewal. A prospective change will not, by itself, reduce the homepage-visibility benefit already included in a member’s then-current paid Diamond Membership Period.

Diamond Homepage Order. Homepage order within the Diamond tier is determined primarily by the date and time on which each card’s current continuous period of homepage publication began (the “Current Continuous Publication Start Timestamp”). A prior historical publication period that expired, lapsed, was downgraded, was terminated, was voluntarily removed, was substantively suspended, or otherwise ceased does not create permanent or continuing placement priority. If the card is later republished after such a cessation, its placement priority begins with the new Current Continuous Publication Start Timestamp. A temporary interruption caused solely by Manufacturing Bridge maintenance, technical failure, or Platform-wide unavailability will not reset placement priority when the card is restored without a substantive termination of the applicable Diamond Membership Period. If two or more cards have the same Current Continuous Publication Start Timestamp, the confirmed Diamond purchase and payment timestamp for the applicable current Diamond Membership Period is used as the next ordering criterion. Manufacturing Bridge’s contemporaneous system records control these timestamps.

Homepage order reflects timing only and does not constitute any representation regarding supplier quality, capability, reliability, compliance, suitability, or commercial preference. The Diamond homepage order is separate from supplier-directory ranking and search results and does not override the industrial relevance, buyer-selected filters, geography, declared capabilities, or other search and relevance factors described in Section 13.

The fee displayed at checkout at the time of your acceptance governs your membership for the current Membership Period.

Relationship Between Tiers. All membership levels include the same public business profile and the same profile fields. Gold adds full search indexing and full result display as described above. Diamond includes everything in Gold plus homepage visibility subject to the then-current

Diamond capacity and the readiness and publication rules in this Section 16. Homepage visibility is the only membership entitlement Diamond receives that Gold does not.

Priority Support. Gold and Diamond members receive priority support, meaning their requests to the Manufacturing Bridge support channel are placed ahead of Basic requests in the response queue. Manufacturing Bridge does not commit to a specific response time.

16.1 Diamond Checkout Readiness. Diamond checkout may be enabled only for a company with an active Basic account. In addition, all four authorized homepage-card fields—business category, company name, geographic location, and Self-Declared or MB Reviewed status—must be complete; required screening and contract acceptance must be complete; no legal, sanctions, security, fraud, or technical hold may remain; and publication capacity within the following two (2) Business Days must be confirmed. All of these conditions are required; satisfying only one or some of them is insufficient.

16.2 Diamond Homepage Activation. After the conditions in Section 16.1 and confirmed payment are satisfied, Manufacturing Bridge will publish the participant’s Diamond homepage card within two (2) Business Days. The Diamond Membership Period begins on the actual date of first publication, not on the payment date. A delay in publication does not affect an independent MB Reviewed designation.

16.3 Business Day and Date Calculation. “Business Day” means Monday through Friday, excluding United States federal holidays, measured in Mountain Time at Sheridan, Wyoming (America/Denver). A readiness condition completed after 5:00 p.m. Mountain Time is treated as completed on the next Business Day. Unless the activation confirmation states a later time, the Diamond Membership Period begins when the card is first published and ends at 11:59 p.m. Mountain Time on the day immediately preceding the first anniversary of the Homepage Publication Date.

16.4 Paused Publication Period and Remedy. The two-Business-Day period is paused for participant-caused delay, participant-requested changes, incomplete or inaccurate information, third-party interruption, legal or compliance review, force majeure, or conditions outside Manufacturing Bridge’s reasonable control. If Manufacturing Bridge cannot publish within the applicable period for reasons primarily within its reasonable control, the participant may accept a delayed start without losing paid membership time or cancel before first publication and receive the remedy stated in Section 20 and the Refund and Cancellation Policy.

16.5 Renewal Alignment. The Diamond renewal date is the anniversary of the Homepage Publication Date. If a payment provider initially records an earlier billing anchor, Manufacturing Bridge will use commercially reasonable measures to defer or adjust the next renewal so that the participant receives the full contracted annual Diamond Membership Period.

17. PAYMENT, AUTOMATIC RENEWAL, AND FEE CHANGES

17.1 Payment Processing.

All membership fees are processed through Stripe, Inc. By providing payment information, you authorize Manufacturing Bridge to charge the applicable annual membership fee through Stripe. Manufacturing Bridge does not store card data. Your use of Stripe is additionally subject to Stripe’s own terms.

17.2 AUTOMATIC RENEWAL — PLEASE READ.

Subject to continued eligibility, tier availability, and the terms disclosed for the next Membership Period, Gold and Diamond renew automatically for successive annual periods only when the renewal terms were clearly and conspicuously disclosed before purchase and the purchaser provided recorded express affirmative authorization through an unselected checkbox or another equivalent affirmative action. Silence, inactivity, continued browsing, or a preselected choice does not authorize renewal. A renewal will not be processed for a tier that Manufacturing Bridge does not make available for the next period. Basic and MB Reviewed do not automatically renew.

We will send a renewal reminder to your registered billing contact between fifteen (15) and thirty (30) calendar days before each renewal date, unless a different period is required by mandatory law for the applicable transaction. The reminder will identify the renewal date, the amount or method for determining the then-current fee, the annual renewal term, and a direct or reasonably accessible cancellation method. Your initial affirmative authorization permits the disclosed annual renewal charge unless you cancel before the charge is processed. Silence or failure to cancel is not a new authorization; it permits the previously authorized renewal to proceed. Failure to receive a reminder because of inaccurate contact information, spam filtering, mailbox limitations, or another circumstance outside our reasonable control does not invalidate an otherwise authorized renewal, except where mandatory law provides otherwise.

You may cancel automatic renewal at any time through your account settings or by written notice to finance@manufacturingbridge.com.

17.3 Failed Payments.

If a recurring charge fails, Manufacturing Bridge or its payment provider may retry the charge using the number and timing of attempts permitted by processor configuration, issuer responses, payment-method rules, risk controls, technical conditions, and applicable law. No particular retry date, number of attempts, recovery period, or grace period is guaranteed unless expressly communicated in writing. Access may remain active, be restricted, or expire during the recovery process depending on the affected service, payment status, and risk.

17.4 Fee Changes.

We may change membership fees for future Membership Periods. Fee changes will be communicated to your registered email address at least fifteen (15) calendar days before the next renewal date and will be included in the applicable renewal notice. Your continued membership after the effective date of a fee change constitutes acceptance of the new fee only if the required renewal disclosures and cancellation opportunity have been provided. If you do not accept the new fee, you may cancel under Section 20 before the renewal date.

17.5 Billing Disputes.

If you believe a charge is incorrect, contact finance@manufacturingbridge.com before initiating a chargeback so that we have a reasonable opportunity to investigate. We do not guarantee a fixed resolution period. A fraudulent, abusive, or knowingly improper chargeback may result in temporary account or benefit suspension while the matter is investigated, without limiting any legitimate dispute right available under applicable law or payment-network rules.

17.6 Foreign Transaction Fees.

If your payment method is issued by a bank outside the United States, your card issuer may charge a foreign transaction fee or apply its own currency conversion rate to charges billed in US Dollars. Manufacturing Bridge does not control, receive, or have visibility into these fees and is not responsible for them. Contact your card issuer for details on applicable foreign transaction fees.

18. MEMBERSHIP BENEFITS, FEATURE CHANGES, AND AVAILABILITY

18.1 Tier Features and Profiles.

The features, access rights, limitations, and visibility applicable to each tier are described in these Terms and in the tier information presented at checkout. All membership levels include the same business profile and the same profile fields. Basic profiles are indexed for search by declared industries served and are displayed as a reduced result. Gold profiles are indexed by all declared attributes and displayed as a full result. Diamond includes the same search treatment as Gold plus homepage visibility as described in Section 16. The tier information presented at checkout at the time of your initial acceptance or most recent renewal governs for that Membership Period.

18.2 Changes to Features.

Where reasonably practicable, we will provide at least fifteen (15) calendar days’ written notice before a material and adverse change to a core feature expressly included in an active paid tier. Changes required for law, sanctions, fraud prevention, security, third-party-provider continuity, or technical integrity may take effect immediately or on shorter notice when reasonably necessary.

18.3 No Guarantee of Continued Availability.

The Platform and its features evolve over time. We do not guarantee that any feature, integration, report, interface, or functionality will remain available indefinitely. We may add, modify, restrict, deprecate, or discontinue features, subject to Sections 18.2, 20.3, and 30. A feature is available only when expressly identified as available at checkout. Your sole contractual remedy for a material and adverse removal of a core paid-tier feature during a current Membership Period is the cancellation and pro-rated refund right in Section 20.3, subject to its exceptions.

18.4 Service Levels.

We use commercially reasonable efforts to make the Platform available and materially consistent with its current published descriptions, subject to maintenance, third-party services, security measures, legal requirements, and events beyond our reasonable control. We do not guarantee any specific uptime, response time, support time, or uninterrupted availability.

19. BETA AND EXPERIMENTAL FEATURES

We may make available features identified as beta, preview, pilot, early access, experimental, or similar (“Beta Features”). Beta Features are provided for evaluation purposes only.

Beta Features are provided strictly “AS IS,” without any warranty of any kind, and are excluded from any service commitment described in Section 18. They may be incomplete, unstable, or produce inaccurate results; may be modified or withdrawn at any time without notice; and may not become generally available. Data generated through Beta Features may not be preserved.

To the maximum extent permitted by applicable law, we accept no liability arising from your use of any Beta Feature. Your use of a Beta Feature is voluntary and at your own risk.

20. CANCELLATION AND REFUNDS

20.1 Cancellation by You.

You may cancel at any time through your account settings or by written notice to finance@manufacturingbridge.com. Cancellation stops automatic renewal at the end of your current Membership Period. You retain full access to your tier features until the end of the period you have already paid for, unless you request immediate account closure in writing. You may request voluntary account closure by contacting legal@manufacturingbridge.com; account closure is separate from cancellation of automatic renewal, and before requesting closure you are responsible for retaining any information you wish to preserve.

20.2 No Refund for Current Period.

Annual membership fees are non-refundable once the membership is activated. Cancellation stops future renewal charges but does not entitle you to a refund for the current annual period. This applies to all paid tiers.

20.2A Diamond Before First Publication.

Before the Diamond homepage card is first published, the Diamond Membership Period has not begun. The participant may cancel the pending Diamond activation and request return of the Diamond membership amount actually received. If the cancellation results from participant-requested changes, inaccurate information, or participant-caused delay after the readiness conditions were confirmed, Manufacturing Bridge may deduct a third-party charge only when it was clearly disclosed, is non-recoverable, and the deduction is permitted by law. If Manufacturing Bridge cannot publish within the applicable period for reasons primarily within its reasonable control and the participant does not accept a delayed start, Manufacturing Bridge will provide a full refund of the Diamond membership amount received. First publication ends this pre-publication cancellation rule and begins the ordinary annual-membership refund treatment.

20.3 Exception — Material Amendments.

If you reject a material amendment and cancel before its effective date, or if Manufacturing Bridge materially and adversely removes a core feature expressly included in your paid tier during the current Membership Period, you may request a pro-rated refund for the unused prepaid portion of that Membership Period. This is your exclusive monetary remedy for the applicable amendment or feature removal. No refund is required for changes mandated by law, sanctions, fraud prevention, urgent security needs, payment-provider requirements, or circumstances for which mandatory law does not require a refund.

20.4 Trust Seal Fees.

Trust Seal fees are non-refundable once the review process has commenced, as described in Section 22 and subject to mandatory applicable law.

20.5 Extended Service Interruption.

A pro-rated refund or service credit may also be available under Section 38 when an extended force-majeure event materially prevents delivery of the affected paid service.

20.6 Effects of Cancellation.

Cancellation or non-renewal of a paid membership stops future renewal and causes the profile to revert to Basic at the end of the paid Membership Period; it does not close the Platform account. The account remains active unless you request voluntary closure or Manufacturing Bridge terminates it under Section 21. An MB Reviewed designation is independent of membership status and remains governed by its own twelve-month period, Status Decision, Trust Seal Agreement, and applicable lifecycle procedures. Membership lapse does not shorten or extend that period. Account data and records are deleted or retained after closure or termination as described in the Privacy Policy, applicable law, security and dispute-preservation requirements, acceptance-record requirements, transaction records, and Trust Seal recordkeeping obligations.

21. SUSPENSION AND TERMINATION

21.1 Suspension or Termination by Manufacturing Bridge.

We may restrict features, suspend an account, or terminate an account as follows:

(a) For a curable material breach, we may provide a reasonable cure period, ordinarily ten (10) business days, which we may extend or shorten based on the nature, urgency, recurrence, and risk of the breach;

(b) We may suspend immediately while investigating suspected fraud, falsified evidence, unauthorized company representation, misuse of the Trust Seal or our marks, sanctions or trade-control risk, cybersecurity threats, unlawful activity, danger to users or third parties, or other material risk;

(c) We may terminate immediately for fraud, willful misconduct, a breach incapable of cure, repeated material breaches, sanctions or legal restrictions, a governmental or court order, or conduct that creates a material and objectively reasonable legal, security, fraud, operational, or reputational risk;

(d) We may terminate after expiration of an applicable cure period if the breach has not been cured to our reasonable satisfaction;

(e) We may suspend or terminate a specific feature, paid benefit, profile, or Trust Seal designation instead of the entire account where proportionate and operationally feasible;

(f) Any refund, credit, or continued access following suspension or termination is governed by Sections 20, 22, and mandatory applicable law.

21.2 Notice.

We will provide notice and a cure opportunity where reasonably appropriate. Advance notice is not required where immediate action is reasonably necessary to address fraud, falsified evidence, sanctions or trade-control risk, cybersecurity threats, unlawful activity, danger, a governmental order, misuse of the Trust Seal or our intellectual property, preservation of evidence, or a breach incapable of cure.

21.3 Effect of Termination.

Upon termination of the Platform account by Manufacturing Bridge, or voluntary account closure by you, access is revoked and the public profile is removed. User Content is deleted or retained only as permitted by the Privacy Policy, applicable law, backup cycles, security or dispute holds, transaction records, acceptance evidence, and Trust Seal recordkeeping requirements. Expiration, cancellation, or non-renewal of a paid membership alone is governed by Section 20.6 and does not terminate the account.

21.4 Retention.

Acceptance records, transaction records, screening records, Trust Seal work product, and other compliance or dispute records may be retained after closure or termination for the periods stated in the Privacy Policy, the applicable agreement, and the Company’s records-retention schedule. Source documents displayed during MB Reviewed sessions are not retained.

PART IV — TRUST SEAL

22. TRUST SEAL — SELF-DECLARED AND PLANNED MB REVIEWED SERVICE

The Trust Seal consists of the currently available no-cost Self-Declared designation and the planned paid MB Reviewed designation. Not currently available — planned for Q4 2026, subject to programme readiness. This statement is a planning estimate, not a guaranteed launch date or present offer. Until Manufacturing Bridge expressly opens the service, no application, reservation, scheduling, payment, review, badge, or designation is available. MB Reviewed, when opened, will be available independently of membership level, including Basic, under a separate Trust Seal Agreement. Account status—including whether an account is registered—is not a Trust Seal designation.

Trust Seal DesignationFeeDescription
Self-DeclaredNo feeThe default designation for every profile. Information displayed has been supplied by the participant. Manufacturing Bridge has performed no review of it and confirms nothing about it.
MB ReviewedPlanned standard fee: USD $3,000 per engagementNot currently available — planned for Q4 2026, subject to programme readiness. If and when expressly opened, MB Reviewed will be a one-time, defined-scope, point-in-time remote review. Source materials will be displayed live and will not be uploaded to or retained by Manufacturing Bridge. Any granted designation will be subject to the then-current Trust Seal Agreement, Status Decision, and programme rules.

When MB Reviewed is expressly opened, the planned standard fee will be USD $3,000 per engagement, subject to confirmation in the service order or checkout then presented and accepted. The fee will become non-refundable only upon substantive commencement. Substantive commencement will occur at the earliest of: (a) participant-specific substantive reviewer preparation or analysis; (b) reservation of professional capacity that has become non-recoverable under cancellation terms clearly disclosed and accepted before the reservation; (c) commencement of the live review session; or (d) another material commencement event expressly identified in the accepted Trust Seal Agreement or checkout. Payment processing, nominal reviewer assignment, routine administration, creation of an internal file, or tentative scheduling will not by itself constitute substantive commencement. If Manufacturing Bridge cancels or cannot complete a purchased engagement for reasons primarily within its reasonable control, the applicable remedy will be governed by the Refund and Cancellation Policy and Trust Seal Agreement.

Trust Seal designations and membership levels are two entirely separate matters. Membership provides Platform visibility; the MB Reviewed designation records that a review process was performed. A participant may hold the MB Reviewed designation at any membership level, including Basic. The fee covers the review work performed and does not purchase, and does not guarantee, any particular outcome or designation.

Annual Validity. If MB Reviewed is opened and a designation is later granted, it will remain active for twelve (12) consecutive months from the Effective Date stated in the applicable Status Decision, unless earlier suspended, revoked, withdrawn, corrected, or superseded under the Trust Seal Agreement and applicable programme rules. Unless the Status Decision states a different legally valid calculation, the Expiration Date will be the day immediately preceding the first anniversary of the Effective Date at 11:59 p.m. Mountain Time. At expiration, the designation becomes inactive, all authorization to display or use the MB Reviewed badge ends automatically, and the participant’s Platform profile returns to Self-Declared unless a new MB Reviewed designation has already become effective.

No Automatic Renewal or Extension. MB Reviewed does not renew automatically, is not extended by any membership renewal or membership level, and carries no guaranteed grace period. A new twelve-month designation period requires a new engagement, including any then-applicable screening, a new order and payment authorization, current pre-session instruments, a new review, and a new Status Decision. Manufacturing Bridge may send courtesy reminders before expiration, but the participant remains responsible for monitoring the Expiration Date shown in its Status Decision and official status page, and failure to receive a reminder does not extend the designation.

MB Reviewed is not currently open for application or purchase. Manufacturing Bridge may maintain a non-binding interest list before launch. Joining that list requires no payment and does not create a reservation, priority, entitlement, guaranteed availability, scheduled session, launch commitment, or right to the planned USD $3,000 fee. The service will be available only when Manufacturing Bridge expressly opens it and the then-current Trust Seal Agreement, methodology, pre-session instruments, badge rules, status page, suspension and revocation procedure, reviewer capacity, screening controls, zero-retention controls, and programme-readiness requirements are operational.

23. TRUST SEAL SCOPE AND LIMITATIONS

The twelve-month designation period is an authorization period for status display and badge use following a point-in-time review. It does not constitute continuous monitoring, an ongoing review, continuing assurance, or a representation that the participant’s ownership, facilities, operations, credentials, capabilities, financial condition, legal status, or other circumstances remain unchanged, accurate, complete, or current throughout that period.

Expiration is an ordinary lifecycle event and is distinct from suspension or revocation. A pending application or request for a new review does not preserve or extend the prior designation. The official Manufacturing Bridge status page and current Status Decision control over screenshots, downloaded materials, presentations, archived pages, or other copies that may continue to display an earlier status.

The MB Reviewed process consists of a limited, defined-scope, point-in-time review of information, documentation, and supporting evidence displayed to Manufacturing Bridge during a remote session, based solely on the materials made available at the time of that session. Manufacturing Bridge does not receive, store, or retain the participant’s source documents. The participant is responsible for the authenticity, currency, and completeness of everything it displays. The process does not involve continuous monitoring, an accredited certification audit, an on-site inspection, a legal-compliance opinion, independent confirmation of all operations, or confirmation of real-world performance.

The MB Reviewed designation reflects only the scope of the review performed on the materials displayed at a specific point in time. The Self-Declared designation reflects no review of any kind. Neither designation is a government certification, regulatory approval, ISO certification, product certification, accreditation, endorsement, legal-compliance opinion, or guarantee of supplier performance, financial stability, legal compliance, product quality, delivery capability, or commercial results.

Buyers may not rely on the Trust Seal as a substitute for independent due diligence, as described in Section 11.4. Commercial decisions based on any supplier’s Trust Seal designation remain the sole responsibility of each buyer. Manufacturing Bridge accepts no liability for commercial decisions made in reliance on the Trust Seal designation of any supplier.

A Trust Seal designation may expire, be suspended, revoked, withdrawn, corrected, or superseded in accordance with the Trust Seal Agreement and applicable programme rules. Expiration occurs automatically at the end of the twelve-month designation period and is not a disciplinary action. In the event of any conflict between these Terms and the Trust Seal Agreement regarding Trust Seal matters, the Trust Seal Agreement prevails.

PART V — COMPLIANCE AND LEGAL PROTECTIONS

24. SANCTIONS, EXPORT CONTROLS, AND RESTRICTED GOODS

As a Wyoming limited liability company, MB Platform Services LLC is subject to U.S. federal law governing economic sanctions and export controls. You represent, warrant, and covenant that:

(a) You, your owners, officers, and directors are not listed on the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”) Specially Designated Nationals and Blocked Persons List, the U.S. Department of Commerce Entity List or Denied Persons List, or any other applicable sanctions or restricted party list of the United States, the European Union, the United Kingdom, or the United Nations;

(b) You are not located in, organized under the laws of, or owned or controlled by a government of any country subject to a comprehensive U.S. embargo or sanctions program administered by OFAC;

(c) You will not use the Platform in connection with any transaction that would violate U.S. export control laws, including the Export Administration Regulations (EAR) or the International Traffic in Arms Regulations (ITAR), or equivalent laws of any other applicable jurisdiction;

(d) You will not use the Platform to offer, solicit, source, promote, or facilitate any transaction involving: military or defense articles or services; dual-use goods, software, or technology subject to export licensing; nuclear materials, technology, or related equipment; chemical or biological weapons precursors; missile technology or unmanned delivery systems; goods subject to arms embargo; or any other controlled or restricted item, without having obtained all licenses, authorizations, and approvals required under applicable law;

(e) You will not use the Platform to circumvent, evade, or facilitate the evasion of any sanctions, export control, customs, or trade restriction;

(f) You will promptly notify us if any of the foregoing representations becomes inaccurate.

(g) Sanctioned Transactions. You will not use the Platform, its services, introductions, directory listings, or any other functionality to facilitate, promote, or participate in any transaction involving any sanctioned person, entity, jurisdiction, industry, or activity prohibited under applicable sanctions or export control laws.

(h) Anti-Money Laundering. You represent and warrant that all funds used to purchase memberships, Trust Seal services, or any other Platform services are derived from lawful sources and that you comply with all applicable anti-money laundering (“AML”), counter-terrorist financing (“CTF”), anti-bribery, and anti-corruption laws. Manufacturing Bridge reserves the right to suspend or terminate access if it reasonably believes the Platform is being used in connection with money laundering, terrorist financing, sanctions evasion, fraud, or other unlawful activity.

(i) Anti-Bribery and Anti-Corruption. You represent and warrant that you will not, in connection with your use of the Platform, offer, promise, or give anything of value to any government official or private party for the purpose of improperly obtaining or retaining business, in violation of the U.S. Foreign Corrupt Practices Act, the UK Bribery Act, or any equivalent applicable law.

You are solely responsible for determining and complying with all licensing, classification, end-use, and end-user requirements applicable to any goods or technology you offer or source. Manufacturing Bridge does not perform export classification, licensing, end-use screening, or customs determination on your behalf, and nothing on the Platform constitutes advice as to the exportability or legality of any item.

We may immediately suspend or terminate your account without refund if you breach any representation in this Section, or if we determine in our reasonable discretion that continued access would expose us to sanctions or export control violations.

25. PLATFORM MEMBERSHIP IS NOT AN INVESTMENT OR SECURITY

A Manufacturing Bridge platform membership is a subscription to a digital service. It does not represent an ownership interest, equity participation, investment contract, security, or any financial instrument of any kind in MB Platform Services LLC or any related entity.

You have no right to profits, distributions, dividends, voting rights, management participation, or any other economic or governance interest in the company. Your sole rights are those set out in these Terms with respect to access to the Platform. No statement made by us, on the Platform, or in any marketing material should be construed as an offer of securities or an investment opportunity.

26. NO GUARANTEE OF COMMERCIAL RESULTS

Manufacturing Bridge provides a digital platform for industrial professionals to connect. We do not guarantee any business connection, lead, inquiry, sale, purchase order, contract, or other commercial outcome as a result of your participation in the Platform.

The value of membership depends on market conditions, the quality of your profile, and the activity of buyers on the Platform — none of which we control or guarantee. We are not responsible for the commercial outcomes of any sourcing decision or of any transaction between buyers and suppliers.

27. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MANUFACTURING BRIDGE MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY.

WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, BE FREE FROM VULNERABILITIES OR UNAUTHORIZED ACCESS, OR THAT ANY DEFECT WILL BE CORRECTED WITHIN ANY SPECIFIC TIMEFRAME.

WE MAKE NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY SUPPLIER OR BUYER INFORMATION PUBLISHED ON THE PLATFORM, OF ANY AUTOMATED OR AI-GENERATED OUTPUT, OR REGARDING THE PERFORMANCE, QUALITY, DELIVERY, OR LEGAL OR REGULATORY COMPLIANCE OF ANY PLATFORM USER.

Notwithstanding the foregoing, for members with an active paid membership, we will use commercially reasonable efforts to maintain the Platform in a condition materially consistent with its published service descriptions. This commitment does not create any right to a refund, credit, or damages beyond what is provided in Section 20.

Some jurisdictions do not permit the exclusion of certain warranties. In such jurisdictions, the foregoing exclusions apply only to the maximum extent permitted by mandatory applicable law.

28. LIMITATION OF LIABILITY

28.1 Exclusion of Indirect Damages.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MB PLATFORM SERVICES LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM, INCLUDING WITHOUT LIMITATION: LOST PROFITS; LOST REVENUE; LOST SAVINGS; LOSS OF DATA; BUSINESS INTERRUPTION; LOSS OF BUSINESS OPPORTUNITY; LOSS OF CONTRACTS; LOSS OF GOODWILL OR REPUTATION; OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.

28.2 Aggregate Cap.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MANUFACTURING BRIDGE’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (a) USD $100; OR (b) THE TOTAL MEMBERSHIP AND SERVICE FEES ACTUALLY PAID BY YOU TO MANUFACTURING BRIDGE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

28.3 Specific Exclusions.

We are not liable for: (a) any commercial result, outcome, or revenue generated or not generated through Platform connections; (b) the accuracy, completeness, or reliability of supplier or buyer information published on the Platform;

(c) any automated or AI-generated output; (d) search ranking position, visibility, or placement; (e) the content, accuracy, or outcome of any enquiry, quotation, purchase order, or negotiation between users; (f) the performance, delivery, or quality of goods or services exchanged between Platform users; (g) the customs, trade, export, regulatory, or tax compliance of any Platform user; or (h) any act or omission of any Platform user.

28.4 Allocation of Risk.

You acknowledge that the fees charged reflect the allocation of risk set out in these Terms, and that these limitations are an essential basis of the bargain between the parties.

28.5 Mandatory Law.

Some jurisdictions do not permit the exclusion or limitation of certain damages. In such jurisdictions, the foregoing limitations apply only to the maximum extent permitted by mandatory applicable law. Nothing in these Terms excludes liability for fraud, willful misconduct, or any liability that cannot be excluded by law.

29. INDEMNIFICATION

You will indemnify, defend, and hold harmless MB Platform Services LLC and its members, managers, contractors, and agents from third-party claims, liabilities, damages, judgments, settlements, penalties, and reasonable legal costs to the extent arising from:

(a) Your material breach of these Terms;

(b) Your User Content or your infringement, misappropriation, or violation of a third-party right;

(c) Your fraud, willful misconduct, unlawful conduct, or material misrepresentation of identity, authority, credentials, capabilities, capacity, or regulatory status;

(d) Your unauthorized use of our name, marks, content, directory data, or Trust Seal badge;

(e) Your breach of Section 24 or involvement in a prohibited or restricted transaction;

(f) Goods, services, commitments, communications, or transactions between you and another Platform user; or

(g) Taxes, duties, regulatory obligations, or claims arising from your own business, products, services, or transactions, except to the extent caused by Manufacturing Bridge’s willful misconduct.

We will provide reasonably prompt notice of a covered claim when practicable and reasonable cooperation at your expense. You may control the defense with qualified counsel reasonably acceptable to us, but you may not settle any claim in a manner that imposes liability, injunctive relief, an admission, or an ongoing obligation on us without our prior written consent. We may participate with counsel of our choosing at our own expense, except that you will bear those costs where your counsel has a conflict or fails to defend diligently. This Section does not require indemnification to the extent a claim was caused by our fraud or willful misconduct.

29A. MODERN SLAVERY AND SUPPLY CHAIN STATEMENT

Manufacturing Bridge is committed to preventing modern slavery and human trafficking in its own operations and expects the same commitment from suppliers listed on the Platform. Manufacturing Bridge does not independently audit suppliers’ labor practices; buyers remain solely responsible for their own supply chain due diligence, consistent with Section 11.4 of these Terms.

PART VI — GENERAL PROVISIONS

30. MODIFICATIONS TO THESE TERMS

30.1 Material Amendments.

Where reasonably practicable, material changes to fees, automatic-renewal terms, liability limits, dispute-resolution procedures, termination rights, or other material paid-member obligations will be communicated at least fifteen (15) calendar days before taking effect. Active paid members may be required to affirmatively re-accept a material amendment before continued use of affected paid features. Changes required by law, court or governmental order, sanctions, fraud prevention, payment-provider requirements, urgent security needs, or technical integrity may take effect on shorter notice or immediately when reasonably necessary and will not apply retroactively unless required by law.

30.2 Non-Material Amendments.

Non-material, clarifying, corrective, beneficial, formatting, security, fraud-prevention, compliance, or technical changes may take effect upon publication or on shorter notice. We may provide advance notice where reasonably practicable.

30.3 Scope of Amendments.

Amendments to Part III (Paid Membership Terms) require notice only to users holding an active paid membership at the time of the amendment.

30.4 Acceptance.

For non-material amendments, your continued use of the Platform after the effective date constitutes acceptance. Material amendments affecting active paid memberships require affirmative re-acceptance as described in Section 30.1. If you do not accept a material amendment, you may cancel under Section 20 before the effective date and receive a pro-rated refund as described in Section 20.3, except where the amendment is required by mandatory law and no refund right is required.

30.5 Archived Versions.

Each version of these Terms is archived at the time of publication. The version in effect at the time of your acceptance governs your use until a subsequent version takes effect in accordance with this Section.

31. DISPUTE RESOLUTION, CLASS ACTION WAIVER, JURY TRIAL WAIVER, AND TIME LIMITATION

31.1 Escalation Process.

The following process applies to disputes arising from or relating to these Terms. It is intended to encourage efficient resolution without creating unnecessary delay or preventing either party from preserving a claim or seeking urgent relief.

Level 1 — Good-Faith Negotiation. A party will send written notice describing the dispute and requested relief. The parties will attempt in good faith to resolve it for a reasonable period, ordinarily fifteen (15) business days. The period may be extended by written agreement, and either party may declare an impasse earlier if further negotiation would not be productive.

Level 2 — Optional Virtual Mediation. After negotiation, the parties may agree in writing to non-binding virtual mediation before a mutually acceptable mediator. Mediation is optional, does not prevent arbitration from being filed to preserve rights, and does not toll any limitation period unless the parties expressly agree in writing. Mediation costs are shared equally unless otherwise agreed.

Level 3 — Binding Arbitration. A dispute not resolved by negotiation, or for which an impasse has been declared, will be finally resolved by binding arbitration administered by the International Centre for Dispute Resolution (ICDR), the international division of the American Arbitration Association, under the International Arbitration Rules in effect when filed. A party may file after the ordinary negotiation period, upon an earlier impasse, or sooner where necessary to preserve a claim, satisfy a filing deadline, or seek emergency relief.

(a) Seat: Sheridan, Wyoming, USA. Hearings may be conducted by videoconference, and no party is required to travel unless the arbitrator determines an in-person hearing is necessary and reasonably allocates the resulting costs.

(b) Language: English, unless mandatory law requires otherwise or the parties and arbitrator agree that limited materials may be submitted with a reliable English translation. The legal seat remains Sheridan, Wyoming.

(c) Arbitrator: one (1) arbitrator, unless the parties agree otherwise in writing or the applicable rules require a different composition.

(d) Efficient procedures: the arbitrator may use expedited, documents-only, remote-hearing, page-limit, staged-discovery, or other proportionate procedures after considering the amount, complexity, and needs of the dispute.

(e) Costs: each party bears its own legal fees unless the arbitrator awards fees because of bad faith, abuse of process, a contractual indemnity, or applicable law. Administrative fees and arbitrator compensation are allocated under the applicable rules, subject to any reallocation in the award.

(f) Confidentiality: the parties will keep the arbitration and non-public materials confidential, except as reasonably necessary to conduct the proceeding, obtain professional advice, comply with law, protect a right, or enforce or challenge an award.

(g) Award: the award is final and binding and may be enforced in any court of competent jurisdiction.

Small-Claims Exception. Either party may bring an eligible individual claim in a small-claims court of competent jurisdiction if the claim remains individual and within that court’s authority.

Courts and Emergency Relief. Either party may seek temporary, preliminary, or emergency relief from a court or emergency arbitrator to protect confidential information, intellectual property, Platform security, evidence, or other rights that could be irreparably harmed. Courts may also be used to enforce or challenge an arbitral award as permitted by law.

Negotiation and optional mediation are not jurisdictional prerequisites where waiting would prejudice a party, cause a deadline to expire, or make relief ineffective. Except for such circumstances, the parties should make a reasonable good-faith effort to negotiate before pursuing merits proceedings.

31.2 CLASS ACTION WAIVER.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU AND MANUFACTURING BRIDGE EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PARTY AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING, AND MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT PARTY’S INDIVIDUAL CLAIM.

31.3 Severability of Waiver.

If the class action waiver in Section 31.2 is held unenforceable as to a particular claim or in a particular jurisdiction, that claim shall be severed from arbitration and resolved in a court of competent jurisdiction, while all remaining claims proceed in arbitration. If Section 31.2 is held unenforceable in its entirety, then Section 31.1 Level 3 shall not apply to the affected claim.

31.4 Mandatory Law.

Where mandatory consumer protection, collective redress, or procedural law in your jurisdiction prohibits any part of this Section, that part applies only to the extent permitted, and the remainder of this Section continues in effect.

31.5 WAIVER OF JURY TRIAL.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM, WHETHER SOUNDING IN CONTRACT, TORT, OR OTHERWISE. THIS WAIVER APPLIES TO ANY CLAIM THAT PROCEEDS IN COURT RATHER THAN IN ARBITRATION, INCLUDING WHERE THE ARBITRATION PROVISIONS OF THIS SECTION ARE HELD UNENFORCEABLE IN WHOLE OR IN PART.

31.6 Time Limitation on Claims.

To the maximum extent permitted by applicable law, any claim arising out of or relating to these Terms or your use of the Platform must be filed within one (1) year after the claim arose. Any claim not filed within that period is permanently barred. This limitation does not apply where mandatory applicable law in your jurisdiction prohibits the contractual shortening of a limitation period, in which case the shortest period permitted by that law applies.

32. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to conflict of law principles, and to the extent permitted by mandatory applicable law in your jurisdiction. Nothing in these Terms limits rights that cannot be waived under mandatory local law applicable to you.

33. ORDER OF PRECEDENCE

In the event of any conflict between these Terms and other Platform documents, the following order of precedence applies (highest to lowest):

(1) Any specifically negotiated written agreement signed by Manufacturing Bridge and the applicable user; (2) any service-specific terms expressly accepted by you, including the Trust Seal Agreement when MB Reviewed is available and purchased; (3) these Terms & Conditions; and (4) the incorporated public policies: the Payment, Billing and Subscription Policy, Refund and Cancellation Policy, Acceptable Use Policy, Disclaimer Policy, Cookie and Similar Technologies Policy, AI and Automated Systems Transparency Statement, and the Global Privacy Policy to the extent it states contractual operational rules rather than serving solely as a privacy notice.

34. SURVIVAL

The following Sections survive any termination or expiration of your account or membership, together with any other provision that by its nature is intended to survive:

Section 4 (Your Representations); Section 6 (Prohibited Use); Section 7 (User Content and License); Section 8 (Intellectual Property and Trademark Use); Section 9 (Feedback and Suggestions); Section 10 (Privacy and Data); Section 11 (Limitations on Platform Data); Section 12 (Automated Systems and Artificial Intelligence); Section 14 (Supplier Discovery and Directory Listings); Sections 15.2, 15.3, and 15.4 (responsibility, non-party status, and confidentiality between users); Section 19 (Beta and Experimental Features); Sections 21.3 and 21.4 (Effect of Termination and Retention); Section 23 (Trust Seal Scope and Limitations); Section 24 (Sanctions, Export Controls, and Restricted Goods); Section 25 (Not an Investment or Security); Section 26 (No Guarantee of Commercial Results); Section 27 (Disclaimer of Warranties); Section 28 (Limitation of Liability); Section 29 (Indemnification); Section 31 in its entirety, including Sections 31.2 (Class Action Waiver), 31.5 (Waiver of Jury Trial), and 31.6 (Time Limitation on Claims); Section 32 (Governing Law); Section 33 (Order of Precedence); Section 34 (Survival); Section 35 (Severability); Section 37 (Relationship of the Parties); Section 39 (No Waiver); Section 40 (Language); Section 42 (Notices); and Section 43 (Entire Agreement).

35. SEVERABILITY

If any provision of these Terms is held invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

36. ASSIGNMENT

You may not assign these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets, without your consent, provided the assignee assumes all obligations under these Terms.

37. RELATIONSHIP OF THE PARTIES

The parties are independent contracting parties. Nothing in these Terms creates any agency, partnership, joint venture, franchise, employment, or fiduciary relationship. Neither party has authority to bind the other in any manner. Manufacturing Bridge does not act as agent, representative, employer, partner, or guarantor for any Platform user.

37A. NO THIRD-PARTY BENEFICIARIES

These Terms are for the sole benefit of Manufacturing Bridge and the individual user who accepted them. Nothing in these Terms, express or implied, is intended to or shall confer upon any other person or entity, including any buyer, supplier, or other Platform user, any right, benefit, or remedy of any nature whatsoever under or by reason of these Terms.

38. FORCE MAJEURE

We shall not be liable for any delay or failure to perform any obligation under these Terms to the extent caused by events beyond our reasonable control, including without limitation:

(a) acts of God, fire, flood, earthquake, hurricane, or other natural disaster;

(b) epidemic, pandemic, or public health emergency;

(c) war, invasion, terrorism, sabotage, civil unrest, or labor disturbance;

(d) government action, embargo, sanctions, export restriction, court order, or change in applicable law;

(e) failure, degradation, suspension, or discontinuation of any cloud infrastructure or hosting provider;

(f) failure, degradation, or suspension of any payment processor, including Stripe, Inc.;

(g) failure or disruption of DNS, domain registrar, certificate authority, email delivery, or content delivery network services;

(h) internet, telecommunications, undersea cable, or power grid outage or degradation;

(i) cyberattack, including denial-of-service attack, ransomware, malware, credential stuffing, or unauthorized intrusion, notwithstanding our implementation of commercially reasonable security measures;

(j) failure or breach by any third-party service provider, subprocessor, or software dependency.

We will use commercially reasonable efforts to resume the affected service when practicable. If a force-majeure event materially prevents delivery of a core paid service for more than sixty (60) consecutive days, either party may terminate the affected paid service. For the unused prepaid portion, Manufacturing Bridge may provide a pro-rated refund or a reasonably equivalent service credit, at its election, unless mandatory law requires a refund. No refund or credit is due for periods in which the material paid service remained substantially available.

39. NO WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

40. LANGUAGE

These Terms are drafted and executed exclusively in English. Any translation that may be provided is for convenience only and shall have no legal effect. In the event of any inconsistency between the English version and any translation, the English version shall prevail to the maximum extent permitted by applicable law.
